Buying a business is the point where financing stops being a formality. A lender is not underwriting the seller’s fifteen-year track record — it is underwriting whether this buyer can service this debt while running a business they have not run before. That is a different question, and most acquisition financing falls apart because nobody answered it before the file went in.
We work the transaction from the buyer’s side: what the business can genuinely carry after debt service, how much equity the deal actually requires, where seller financing has to sit in the structure, and how much working capital the buyer needs to survive the first year. Then we build the credit narrative that explains why this buyer, on this deal, is a sound risk.
Bring us in early — ideally before the LOI is signed. The structure of a purchase agreement determines what can be financed, and it is far easier to shape a deal than to rescue one.
What we structure
Commercial real estate financing rewards precision. The same property can be financed as an owner-occupied SBA 504 transaction, a conventional bank loan, or a DSCR-based investment deal — with materially different rates, terms, equity requirements and timelines. Choosing wrong costs money for the life of the loan.
We start with what the property and the borrower are actually being asked to support: occupancy and use, net operating income, debt service coverage, sponsor liquidity, and the exit or takeout on anything short-term. From there we determine the right structure and the right class of lender — bank, SBA, agency, private or bridge — rather than sending the file wherever it will fit.
Our clients regularly close purchase, refinance and cash-out transactions in 30 to 45 days, because the file is complete the day it goes in.
What we structure
SBA is the most flexible capital available to a small business and the most easily mishandled. Eligibility rules are specific, structures are prescribed, and two lenders operating under the same SOP will reach opposite conclusions on the same file — because SOP compliance is the floor, and credit appetite is what actually decides the outcome.
This is where our lending background matters most. We resolve eligibility, equity injection, debt service and structure before submission, prepare the credit presentation the way an underwriter needs to read it, and select lenders whose appetite fits the industry, size and profile of the transaction. Where 504 serves the client better than 7(a) — or where SBA is the wrong tool entirely and conventional debt is cheaper — we say so.

What we structure
Established businesses often need capital that no single product cleanly covers: an expansion that outruns the operating line, an equipment purchase alongside a facility build-out, a balance sheet carrying legacy debt at terms that no longer make sense, a partner who needs to be bought out without straining working capital.
These transactions are solved by structure, not by product selection. That may mean layering conventional bank debt with equipment financing, refinancing existing obligations to release capacity, or going outside the banking system to private credit where speed or flexibility justifies the cost. We are candid about that trade-off — non-bank capital is more expensive, and it is worth it only when it is genuinely worth it.
